LICENSE AGREEMENT

This License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and Ahem ABN: 93 633 150 356 (“Licensor,” “we,” “us,” or “our”).

ACKNOWLEDGMENT

BY PURCHASING, DOWNLOADING, OR USING THE LICENSED ASSETS, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

You further acknowledge that violations of this Agreement may result in significant financial liability as outlined in Section 9 (Enforcement and Penalties), and that Licensor has the right to pursue all available legal remedies for unauthorised use of the Licensed Assets.

LICENSE TIERS

A “user” is defined as any individual within your company or organisation who directly accesses or uses Mr.Storyboard illustration files, components, or assets.

Individual Pro License

  • 1 user – for individual designers, freelancers, or sole proprietors
  • You may not share access to the illustrations with anyone else

Squad Pro License

  • Up to 5 users – for teams, agencies, and small organisations
  • You may share access to the illustrations with up to 5 team members within your company or organisation
  • License seats cannot be allocated to users outside of your company or organisation

Team Pro License

  • Up to 10 users – for teams, agencies, and small organisations
  • You may share access to the illustrations with up to a 10 team members within your company or organisation
  • License seats cannot be allocated to users outside of your company or organisation

Prohibited: Sharing your license with others, or participating in any form of “group buy” or organised sharing of the illustrations, whether paid or unpaid, is strictly prohibited and constitutes a material breach of this Agreement.

1. DEFINITIONS

1.1 “Licensed Assets” or “Illustrations” means the Mr.Storyboard illustration files and component library, including:

  • All individual visual elements, graphics, designs, and illustrations
  • The component architecture and design system structure
  • Dynamic and editable components with embedded illustrations
  • The library organisation, modular framework, and components
  • Any files, structures, or systems that preserve the ability to manipulate, recombine, or generate variations of illustrations
  • All associated documentation provided by Licensor

The Licensed Assets include both individual illustration files and the underlying component system that enables dynamic creation of character expressions, stances, and scenes.

1.2 “End Product” means a finished work or project that incorporates the Licensed Assets in a manner where the Licensed Assets are used in a way that doesn’t allow for embedded illustration variations and asset library be extracted, downloaded, manipulated, or redistributed in their original or modified form by end users. End Products are delivered in formats where the underlying component system and asset library is not accessible (such as flattened or rasterised images, detached components (including nested components), or non-editable formats). End Products do not include source files, component libraries, or any editable format that preserves the ability to manipulate components or create new variations.

1.3 “End User” means any third party who views, interacts with, or otherwise experiences an End Product created by Licensee.

1.4 “Competing Product” means any illustration pack, stock graphics library, design asset collection, clip art product, SaaS platform, or similar product or service that provides illustrations or design assets to users in a manner that competes with or replicates the value delivered by the Licensed Assets.

1.5 “AI Training” means the use of Licensed Assets as input data, training material, or reference content for any artificial intelligence system, machine learning model, neural network, generative AI system (including but not limited to text-to-image, image-to-image, or similar generative models), or algorithmic training process.

1.6 “Group Buy” means any arrangement, agreement, or coordinated effort where multiple individuals share the cost of purchasing a license and then share access to the Licensed Assets, or where one individual purchases a license and distributes access to others who did not purchase their own license.

2. GRANT OF LICENSE

2.1 Subject to the terms and conditions of this Agreement, Licensor grants Licensee a worldwide, non-exclusive, non-transferable, perpetual license to use the Licensed Assets.

2.2 This is a “multi-use” license, meaning you may use the Licensed Assets multiple times in multiple projects, for both personal and commercial purposes.

2.3 The scope of your license (Individual or Team) determines how many users may access and use the Licensed Assets within your organisation.

2.4 This license is not transferable to any other individual or entity without prior written consent from Licensor.

3. PERMITTED USES

You are permitted to:

3.1 Personal and Commercial Projects: Use the Licensed Assets to create unlimited End Products for personal use, commercial use, or client projects.

3.2 Client Work: Create End Products incorporating the Licensed Assets for clients, provided that the End Products comply with the restrictions in Section 4 of this Agreement.

3.3 Modification: Modify, manipulate, or alter the Licensed Assets. You may combine the Licensed Assets with other works and create derivative works. Any derivative works created from the Licensed Assets remain subject to all terms of this Agreement.

3.4 Reproduction: Make any number of copies of End Products for personal use, client engagements, or commercial distribution, provided such distribution complies with Section 4.

3.5 End Product Sales: Sell, license, or distribute End Products that incorporate the Licensed Assets, provided:

  • The Licensed Assets are integrated into the End Product in a manner that does not allow extraction, downloading, or redistribution of components or embedded library assets by End Users;
  • The End Product adds substantial creative value beyond the Licensed Assets themselves; and
  • The use complies with all Prohibited Uses in Section 4.

3.6 Multiple End Products: Create and distribute unlimited End Products across unlimited projects without additional licensing fees.

3.7 Team Collaboration (Pro Squad & Pro Team licenses only): Share access to the Licensed Assets with team members within your organisation, up to the number of users permitted by your license tier.

4. PROHIBITED USES

You are expressly prohibited from:

4.1 Redistribution of Source Files: Redistributing, reselling, sharing, lending, sub-licensing, or otherwise making the Licensed Assets (in original, modified, or derivative form) available to any third party as standalone files or in any format that allows extraction or separate use of the Licensed Assets partially or in their entirety.

This prohibition includes:

  • Sharing Licensed Assets with colleagues, friends, or online communities who have not purchased their own license
  • Participating in, organising, or facilitating “group buys” or any coordinated sharing arrangement, whether paid or unpaid
  • Uploading Licensed Assets to cloud storage, file-sharing platforms, or torrent sites
  • Distributing Licensed Assets via private channels, messaging apps, or social media
  • Making Licensed Assets publicly available or accessible to unlicensed users

4.2 Component Architecture and Dynamic Asset Protection: The Licensed Assets include not only individual illustrations but also the component architecture, design system structure, and modular framework that enables creation of character expressions, stances, and scenes. Protection of this component system is critical to the value of Mr.Storyboard.

You may NOT share, redistribute, or provide access to:

  • Component libraries or design system files (Figma libraries, Sketch libraries, design tokens, or similar component collections)
  • Editable source files that contain dynamic components with embedded illustrations
  • Published libraries or shared team libraries where components can be accessed and manipulated (unless all team members are licensed users under your license)
  • Any file format that allows recipients to manipulate components to create new scenes or variations
  • The modular structure or component relationships that constitute the functional architecture of Mr.Storyboard
  • Any format that preserves the ability to recombine illustration elements to generate new character variations

Client Deliverables and Source Files:

When delivering work to clients, you may provide:

Final static outputs – storyboards, videos, presentations, or other end products where the Licensed Assets remain non-editable.

Flattened designs – where illustrations are rasterized, merged, or otherwise non-editable.

Exported assets – PNG, JPG, PDF, or other formats where components cannot be extracted or manipulated

You may NOT provide to clients:

Source files containing editable components or illustration libraries

Design system files that would allow the client to create new scenes or variations

Component libraries in Figma, Sketch, Adobe XD, or similar tools

Published libraries or any format where the client could access the component architecture

Editable project files where illustrations can be manipulated using the component system

Important: If a client requires access to editable source files, component libraries, or the ability to create new variations using Mr.Storyboard components, the client must purchase their own license. You cannot transfer, share, or sublicense your access to the component system.

4.3 Competing Products: Using the Licensed Assets to create or distribute Competing Products, including but not limited to:

  • Developing illustration packs, stock graphics libraries, clip art collections, or design asset products for sale or free distribution
  • Incorporating the Licensed Assets into any illustration library, asset marketplace, or design resource platform
  • Building competing illustration products or services, whether delivered as downloadable packs or through cloud-based/web-based access
  • Creating or operating a SaaS platform, web-based tool, or subscription service that provides illustrations, graphics, or design assets to end users
  • Using the Licensed Assets (in whole or in part) to create products that compete with Mr.Storyboard

4.5 AI Training and Machine Learning Prohibition: Using the Licensed Assets for AI Training purposes, including but not limited to:

  • Training, fine-tuning, or developing any artificial intelligence model, machine learning algorithm, or neural network
  • Using the Licensed Assets as input data for generative AI systems, including text-to-image models, image generation models, stable diffusion models, or similar technologies
  • Incorporating the Licensed Assets (in whole or in part) into datasets used for algorithmic training, model development, or machine learning research
  • Using the Licensed Assets to create, improve, or test AI systems capable of generating, synthesising, or reproducing visual content
  • Any use that enables automated systems to learn from, replicate, or generate content based on or inspired by the Licensed Assets

This prohibition applies regardless of whether the AI system is proprietary, open-source, commercial, or academic, and regardless of whether the Licensed Assets are used individually or as part of a larger training dataset.

4.6 Trademark and Branding Misuse: Using the Licensed Assets in a manner that suggests endorsement, sponsorship, or affiliation with Licensor without prior written consent. You may not register or attempt to register any trademark, copyright, or other intellectual property right in the Licensed Assets or any confusingly similar work.

4.7 Defamatory or Unlawful Use: Using the Licensed Assets in any manner that is defamatory, pornographic, obscene, illegal, or violates any third-party rights (including but not limited to intellectual property rights, privacy rights, or publicity rights).

4.8 On-Demand Products: Using the Licensed Assets as the primary design element in print-on-demand, made-to-order, or customisable merchandise.

4.9 NFT and Blockchain Restrictions: Minting, creating, or selling the Licensed Assets (or derivatives substantially composed of the Licensed Assets) as Non-Fungible Tokens (NFTs) or other blockchain-based digital assets where ownership or access to the Licensed Assets is tokenized.

4.10 Marketplace Distribution: Selling, distributing, or making available the Licensed Assets on stock photography websites, design marketplaces, asset stores, or any platform where users can purchase, download, or license the Licensed Assets separately.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership: Licensor retains all right, title, and interest in and to the Licensed Assets, including all intellectual property rights therein. This Agreement does not convey any ownership rights to Licensee; it grants only a limited license to use the Licensed Assets in accordance with this Agreement.

5.2 Copyright Notice: You may not remove, alter, or obscure any copyright notice, trademark, or other proprietary rights notice contained in or on the Licensed Assets.

5.3 Reservation of Rights: All rights not expressly granted to Licensee in this Agreement are reserved by Licensor.

6. WARRANTIES AND DISCLAIMERS

6.1 Limited Warranty: Licensor warrants that it has the legal right to grant the license set forth in this Agreement and that the Licensed Assets, as delivered, do not infringe upon any third-party intellectual property rights to Licensor’s actual knowledge.

6.2 DISCLAIMER OF WARRANTIES: EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6.1, THE LICENSED ASSETS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

6.3 No Technical Support: Licensor is not obligated to provide technical support, maintenance, updates, or error corrections for the Licensed Assets unless separately agreed in writing.

6.4 File Format and Compatibility: Licensor does not warrant that the Licensed Assets will be compatible with any particular software, hardware, or operating system, or that the Licensed Assets will be error-free or operate without interruption.

7. LIMITATION OF LIABILITY

7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE LICENSE TO THE LICENSED ASSETS.

8. INDEMNIFICATION

8.1 Licensee agrees to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Licensee’s use of the Licensed Assets in violation of this Agreement;
  • Any End Product created by Licensee that infringes third-party rights or violates applicable laws; or
  • Any breach of Licensee’s representations, warranties, or obligations under this Agreement.

9. ENFORCEMENT AND PENALTIES

9.1 Copyright Protection: All Licensed Assets are copyrighted works owned by Licensor. You are granted only the permissions described in this license; all other rights are reserved.

9.2 License Revocation: Licensor reserves the right to revoke licenses and access to Mr.Storyboard products at our discretion if we have reason to believe deception, fraud, or unauthorised use outside the scope of this license has occurred. In cases of blatant or malicious license violations (including but not limited to deliberate sharing, group buys, piracy, or commercial exploitation), no refund will be issued, and you remain liable for all damages and penalties specified in this Agreement.

9.3 Liquidated Damages: You acknowledge that breaches of this Agreement, including but not limited to unauthorised redistribution, creation of Competing Products, AI Training uses, or participation in group buys, cause substantial harm to Licensor’s business, goodwill, and intellectual property rights. You further acknowledge that the actual damages resulting from such breaches would be difficult to calculate with precision.

For deliberate sharing, redistribution, and piracy violations: By purchasing or downloading the Licensed Assets, you agree to be financially liable for USD $10,000 per individual breach of this License Agreement for any deliberate sharing, copying, or distribution of Mr.Storyboard assets—including but not limited to:

  • Participation in “group buys” or organised file sharing
  • Sharing component libraries or editable source files with unlicensed users
  • Distributing illustration files or components via file-sharing platforms, cloud storage, or private channels
  • Uploading files to piracy forums, torrent sites, or unauthorised distribution channels
  • Account-sharing or providing login credentials to others
  • Any other unauthorised redistribution of Licensed Assets or component libraries

Each person who receives unauthorised access to the Licensed Assets or component libraries constitutes a separate breach and separate liability of USD $10,000.

For online piracy and public distribution: If any of your copies of the Licensed Assets, component libraries, or Mr.Storyboard files are found online, uploaded to file-sharing platforms, posted on piracy forums, or otherwise made publicly available through any channel, you agree to be fully liable for USD $10,000 per individual download as a separate offense, with no limitation on total damages. This applies whether you directly uploaded the files or your negligence led to their unauthorised distribution.

For other material breaches: For breaches not covered above (such as creating Competing Products, AI Training violations, or commercial exploitation), liquidated damages will be determined based on:

  • The nature and severity of the breach
  • The commercial impact of the violation
  • The number of unauthorised users, distributions, or uses
  • Whether the breach involved commercial exploitation or profit
  • Any revenues derived from the unauthorised use

9.4 These liquidated damages represent a reasonable pre-estimate of the actual damages Licensor would suffer from such breaches, which would be extremely difficult to calculate precisely given the digital nature of the Licensed Assets and the multiplicative harm caused by unauthorised distribution. These amounts are not penalties but rather compensation for harm to Licensor’s business, brand, intellectual property, and the devaluation of the Licensed Assets caused by unauthorised access and distribution.

9.5 Licensor reserves the right to pursue additional legal remedies for unauthorised use of the Licensed Assets, including injunctive relief, recovery of profits, and statutory damages under applicable copyright laws, in addition to or in lieu of the liquidated damages specified above.

9.6 The existence of liquidated damages provisions does not preclude Licensor from seeking actual damages if they exceed the liquidated amounts specified.

10. TERM AND TERMINATION

10.1 Perpetual License: This license is perpetual and continues indefinitely unless terminated in accordance with this Section 10.

10.2 Termination for Breach: Licensor may terminate this Agreement immediately upon written notice if Licensee breaches any material term of this Agreement.

10.3 Immediate Termination: Licensor may terminate this Agreement immediately without notice for violating any of the prohibited uses set out in Section 4.

10.4 Effect of Termination: Upon termination of this Agreement:

  • Licensee must immediately cease all use of the Licensed Assets
  • Licensee must destroy or permanently delete all copies of the Licensed Assets in Licensee’s possession or control

10.5 Survival: Sections 5 (Intellectual Property Rights), 6 (Warranties and Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), 9 (Enforcement and Penalties), and 11 (General Provisions) shall survive termination of this Agreement.

11. GENERAL PROVISIONS

11.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the Licensed Assets and supersedes all prior or contemporaneous oral or written agreements, understandings, and communications.

11.2 Amendments: Licensor reserves the right to modify this Agreement at any time.

11.3 Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

11.4 Waiver: No waiver of any breach of this Agreement shall constitute a waiver of any other or subsequent breach.

11.5 Assignment: Licensee may not assign, transfer, or sublicense this Agreement or any rights granted hereunder without the prior written consent of Licensor. Any attempted assignment in violation of this provision shall be void.

11.6 Force Majeure: Licensor shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or internet service failures.

11.7 Relationship of Parties: Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties.

11.8 Notices: All notices required or permitted under this Agreement shall be in writing and delivered to licensing@mrstoryboard.com

12. PAYMENTS AND REFUNDS

12.1 Payment Processing: All payments are processed through our authorized payment processor. By completing a purchase, you agree to the payment processor’s terms of service.

12.2 Refund Policy: All sales are final. Due to the digital nature of our products, we do not offer refunds once the Licensed Assets have been downloaded or accessed.

  • Ensure the Licensed Assets meet your needs and that you are familiar with the file formats and technical requirements

12.3 Price Changes: Licensor reserves the right to change pricing at any time. Price changes do not affect licenses already purchased.

12.4 License Upgrades: If you need to upgrade your license from Individual to Squad or Team to add more users, please contact us at licensing@mrstoryboard.com.
